The Corporate Counsel position will provide advice and guidance on a variety of corporate governance, securities, transactional and finance matters. This role reports to Stepan's Senior Counsel. Relocation Package available for those out of state
Preparing and reviewing a range of securities law filings and advising on disclosure matters, including review of earnings announcements, press releases and other investor communications.
Assisting in the preparation for board, committee and stockholder meetings, including drafting of materials and ensuring compliance with applicable SEC and NYSE corporate governance requirements.
Providing counsel regarding a range of transactional matters, including acquisitions (both domestic and international), divestitures, joint ventures and other business development activities.
Supporting the corporate finance department on a variety of matters, including domestic and international financing transactions.
Supporting the oversight of subsidiary corporate governance.
Proactively monitoring and communicating legal trends, industry standards and best practices for topics that could affect Stepan.
Assisting in the development, execution and administration of policies, process improvements, and training for business clients.
Facilitating cross-functional relationships and decision making among the legal team and other internal teams, including the finance, business development, HR and communications teams.
Two to four years of relevant experience in a law firm and/or corporate legal department
Excellent verbal and written communication skills
Strong attention to detail
Proactive and able to prioritize, with strong organizational skills
Able to handle confidential and sensitive information
High integrity and professionalism
Juris Doctor degree from an accredited law school
Licensed to practice law in a US state or DC
